Terms of service
Effective 1 April 2026
1. Who we are
These terms (the “Terms”) are a binding agreement between you and 8Contracts Ltd, a company registered in England & Wales (“8Contracts”, “we”, “our”, or “us”). They govern your access to and use of the 8Contracts platform, research services, and any associated websites (together, the “Services”).
2. Your account
We issue workspaces after a scoping call. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately if you suspect unauthorised access.
3. Your content
You retain ownership of any information, supplier evidence, or submissions you provide to 8Contracts (“Customer Content”). You grant us a limited, non-exclusive licence to host, copy, and process Customer Content solely to deliver the Services to you.
4. Research services
Any outputs we produce on your behalf — tender drafts, responses, supporting materials — are delivered for your use under the plan you have agreed with us. We do not guarantee any particular commercial outcome, including award of a specific tender, framework, or approved-supplier listing.
5. Fees
Fees are invoiced in advance on the cadence set out in your Order Form. Unpaid invoices accrue interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Acceptable use
You agree not to (a) misuse the Services, (b) attempt to reverse engineer the Services, (c) upload content you do not have the right to share, or (d) use the Services to submit false or misleading evidence to any procurement body.
7. Confidentiality
Each party agrees to keep the other’s confidential information confidential and to use it solely to perform its obligations under these Terms.
8. Warranties and liability
The Services are provided “as is” to the maximum extent permitted by law. We do not exclude or limit liability for death, personal injury caused by our negligence, or fraudulent misrepresentation. Otherwise, our total aggregate liability in any 12-month period is capped at the fees paid by you in that period.
9. Termination
Either party may terminate these Terms for material breach that is not cured within 30 days of notice. On termination, we will provide a reasonable period for you to export your Customer Content before deletion.
10. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
